Affiliate Programme Terms

1. The programme

These Affiliate Programme Terms ("Affiliate Terms") are an agreement between Megahost LLC, 36 South 18th Avenue, Suite D, Brighton, CO 80601, United States, and the person or business accepted into the WebModernize affiliate programme ("Affiliate", "you"). They apply in addition to our Terms of Service, Privacy Policy and Acceptable Use Policy.

We may accept or decline any application, and may change or end the programme with 30 days’ notice. Commissions already earned at that point remain payable under these terms.

2. Referral links and attribution

• You receive a personal referral link and code. A visit through your link is remembered on the visitor’s device for the cookie period shown in your dashboard.
• A referral is credited to you when a new workspace is created during that period and the most recent referral link used was yours (last click).
• Self-referrals are not allowed: you cannot earn commission on your own workspace, or on workspaces created by you, your business or your employees.
• Attribution is determined by our records, which are final unless you show us a clear error.

3. Commissions

• You earn the commission rate shown in your dashboard on each payment we actually receive from a referred workspace, excluding taxes, during the commission period shown in your dashboard.
• Commissions are held for the hold period shown in your dashboard to allow for refunds and disputes, and then become payable.
• If a payment is refunded, disputed or charged back, the related commission is reduced or reversed; if it was already paid, the amount is deducted from your future commissions.
• Discounts, credits, and free or complimentary plans do not earn commission.

4. Payouts

• You can request a payout once your payable balance reaches the minimum shown in your dashboard. One payout request can be open at a time.
• We pay by PayPal or bank transfer to the details you provide, normally within 15 business days of approving a request. You are responsible for accurate details and for any fees charged by your bank or PayPal.
• We may request identity, tax or business information before paying (for example IRS Form W-9 or W-8BEN). You are responsible for your own taxes.
• We may withhold commissions connected to suspected fraud or a breach of these terms while we investigate.

5. How you may promote WebModernize

You must promote the Service honestly and lawfully. In particular you must not:

• send unsolicited bulk email or spam, or use any messaging that breaks anti-spam law;
• bid on our brand names, or variations of them, in paid search ads, or register domains or social accounts that include them;
• make claims about the Service, its results or pricing that we do not make, or offer discounts or promotions we have not authorised;
• present yourself as WebModernize or Megahost LLC, or imply an endorsement or partnership beyond this programme;
• use cookie stuffing, forced clicks, incentivised sign-ups, or any method that generates referrals without a real recommendation;
• promote the Service on sites with illegal, hateful, adult or misleading content.

6. Disclosure

You must clearly disclose your affiliate relationship wherever you recommend the Service, as required by the US Federal Trade Commission’s Endorsement Guides and similar rules in your country (for example: “I earn a commission if you sign up through my link”).

7. Brand use

We grant you a limited, revocable, non-exclusive licence to use the WebModernize name and logo only to promote the Service under these terms, and only as provided in your dashboard resources. All goodwill belongs to us.

8. Suspension and termination

Either party may end this agreement at any time. We may suspend or terminate your account immediately for breach of these terms. On termination for breach, unpaid commissions are forfeited. Otherwise, commissions that become payable after termination are paid once they reach the minimum, and the rest are forfeited after 12 months of inactivity.

9. Independent parties, liability and law

You are an independent contractor; nothing in these terms creates employment, partnership or agency. Our total liability under these terms is limited to the commissions payable to you in the 12 months before the claim. These terms are governed by the laws of the State of Colorado, United States, and the courts located in Colorado have exclusive jurisdiction.
